Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the AgoraVisa platform, the Expert Sessions service, our websites at agoravisa.com and my.agoravisa.com, and all related services (collectively, the “Services”) provided by Agora Works LLC (“Agora,” “we,” “us,” or “our”).
PLEASE READ THESE TERMS CAREFULLY. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. WHO WE ARE
Agora Works LLC is a Wyoming-incorporated private company. AgoraVisa is a service of Agora Works LLC.
AGORA IS NOT A LAW FIRM. Agora is a technology and operations company. Agora does not provide legal advice. Agora is not affiliated with U.S. Citizenship and Immigration Services (USCIS), the U.S. Department of State, or any other government agency.
LEGAL SERVICES ARE PROVIDED BY INDEPENDENT ATTORNEYS. Where legal services are available through the Services, those services are rendered by independent licensed attorneys (“Independent Attorneys”) who operate with full legal judgment and autonomy. Independent Attorneys are not employees, agents, or partners of Agora. Your attorney-client relationship, where one exists, is solely with the Independent Attorney, not with Agora.
CONSULTATIONS ARE NOT LEGAL ADVICE. Where the Services include consultations with third-party participants such as former government officials, those consultations are informational and educational. They do not constitute legal advice. Consultation providers are independent contractors, not employees of Agora, and do not represent or guarantee any specific outcome.
2. ELIGIBILITY
To use the Services, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding contracts
- Provide accurate, complete information about yourself
- Comply with all applicable laws
If you are using the Services on behalf of a minor child, you must be the parent or legal guardian with authority to do so.
3. ACCOUNTS
To access certain features, you must create an account. You agree to:
- Provide accurate and current information
- Maintain the security of your account credentials
- Notify us promptly of any unauthorized access
- Be responsible for all activity under your account
We may suspend or terminate accounts for violation of these Terms, illegal activity, or for any reason at our discretion.
4. USE OF THE SERVICES
4.1 Permitted use
You may use the Services only for lawful purposes consistent with these Terms.
4.2 Prohibited conduct
You may not:
- Use the Services for any illegal, fraudulent, or unauthorized purpose
- Misrepresent your identity, affiliations, or qualifications
- Submit false or misleading information in connection with your matter
- Attempt to access accounts, systems, or data you are not authorized to access
- Interfere with or disrupt the Services or the servers or networks connected to the Services
- Use automated tools to access or scrape the Services
- Reverse engineer, decompile, or attempt to derive source code of the Services
- Resell, redistribute, or commercialize the Services without our written permission
- Upload viruses, malware, or harmful content
- Use the Services in any way that could harm Agora or other participants on the platform
5. INDEPENDENT ATTORNEYS AND CONSULTATION PROVIDERS
5.1 Independence
Independent Attorneys who provide legal services through the platform are independent professionals. They:
- Are licensed to practice law in their jurisdiction
- Operate with full legal judgment and professional autonomy
- Have direct attorney-client relationships with the clients they serve
- Are bound by their own professional rules of conduct and ethical obligations
- Are not employees, agents, or representatives of Agora
Consultation providers who deliver informational sessions through the platform are also independent contractors. They are not employees of Agora and do not provide legal advice.
5.2 Agora’s role
Agora provides the technology platform and operational support that enables participants to deliver and receive services efficiently. Agora’s role includes:
- Software tools for case management and document preparation
- Operational staff who assist with administrative tasks
- Coordination of communications and document flow
- Payment processing
Agora’s operational staff are not lawyers and do not provide legal advice. All legal decisions, strategy, and counsel are the exclusive responsibility of the Independent Attorney.
5.3 Agora is not responsible for legal services or consultations
You acknowledge and agree that:
- Agora is not responsible for the legal advice or services rendered by Independent Attorneys
- Agora is not responsible for the content or guidance provided in consultations by independent contractors
- Agora makes no warranties or representations regarding the quality, accuracy, or outcomes of services provided by Independent Attorneys or consultation providers
- Any dispute regarding such services is between you and the relevant Independent Attorney or consultation provider
- Agora does not control, supervise, or direct the professional judgment of Independent Attorneys or consultation providers
5.4 No outcome guarantee
Outcomes in immigration matters depend on many factors outside the control of any participant on the platform, including individual circumstances, current government policies, and adjudicating officer discretion. No outcome is promised or guaranteed by Agora, Independent Attorneys, or consultation providers.
6. PAYMENTS AND FEES
6.1 Fees
Fees for the Services are as posted at the time of purchase. You authorize us to charge your payment method for all fees.
6.2 Payment processing
Payments are processed by third-party payment processors. By providing payment information, you authorize the processor to charge your payment method.
6.3 Refunds
Refund policies depend on the type of service.
Consultations (Expert Sessions):
- Cancellations made 24 or more hours before the scheduled session: full refund
- Cancellations made within 24 hours of the scheduled session: reviewed case-by-case at Agora’s discretion
- Sessions where the consultation provider fails to appear: full refund
- Sessions where the buyer fails to appear: no refund
Immigration Services (AgoraVisa Services):
All fees paid for immigration services, including but not limited to case preparation, document review, petition drafting, and related operational support, are non-refundable. Once payment is made, services are deemed engaged and Agora and the Independent Attorneys involved begin allocating resources, time, and expertise to the matter. By engaging immigration services through Agora, you acknowledge and agree that no refunds will be issued.
For legal services provided by Independent Attorneys, refund terms relating to the attorney-client engagement are governed by the engagement agreement between you and the Independent Attorney.
6.4 Taxes
You are responsible for any taxes applicable to your use of the Services.
7. INTELLECTUAL PROPERTY
7.1 Our rights
The Services, including software, content, designs, trademarks, and other materials, are owned by Agora or licensed to us and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose.
7.2 Your content
You retain ownership of content you provide. By providing content, you grant Agora a worldwide, royalty-free, non-exclusive license to use, store, process, and display that content as necessary to provide the Services.
7.3 Feedback
If you provide feedback or suggestions, you grant Agora the right to use that feedback without obligation.
8. CONFIDENTIALITY
We treat your information confidentially as described in our Privacy Policy. Independent Attorneys and consultation providers have their own confidentiality obligations governed by their respective professional rules and engagement agreements.
9. DISCLAIMERS
9.1 As-is provision
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.
9.2 No legal advice
NOTHING IN THE SERVICES, OUR COMMUNICATIONS, OR OUR PLATFORM CONSTITUTES LEGAL ADVICE FROM AGORA. Legal advice is provided only by Independent Attorneys with whom you have an attorney-client relationship.
9.3 No outcome guarantee
WE DO NOT GUARANTEE ANY SPECIFIC OUTCOME WITH RESPECT TO ANY MATTER HANDLED THROUGH OUR PLATFORM. Outcomes depend on factors including individual circumstances, current government policies, and adjudicating officer discretion that are outside our control.
9.4 Third-party services
We are not responsible for third-party services integrated with or supporting our platform. Your use of those services is governed by their respective terms.
10. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
10.1 Excluded damages
AGORA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST DATA, LOST OPPORTUNITY, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10.2 Liability cap
OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES, REGARDLESS OF THE FORM OF ACTION OR THEORY OF LIABILITY, WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO AGORA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
10.3 No liability for Independent Attorneys or consultation providers
AGORA IS NOT LIABLE FOR THE ACTS, OMISSIONS, ADVICE, OR SERVICES OF INDEPENDENT ATTORNEYS OR CONSULTATION PROVIDERS. Claims regarding legal services rest with the Independent Attorney. Claims regarding consultations rest with the relevant consultation provider.
11. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Agora and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your use of the Services
- Your violation of these Terms
- Your violation of any law or third-party right
- Information you provide that is false, inaccurate, or misleading
- Disputes between you and any Independent Attorney or consultation provider
12. TERMINATION
We may suspend or terminate your access to the Services at any time, with or without cause and with or without notice. Upon termination:
- Your right to use the Services ceases
- We may retain your information as required by law and our retention policies
- Provisions that by their nature should survive termination will survive, including Sections 7 (Intellectual Property), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), 13 (Dispute Resolution), and 14 (General)
You may close your account at any time by contacting us.
13. DISPUTE RESOLUTION
13.1 Informal resolution
Before filing any formal claim, you agree to attempt to resolve the dispute informally by contacting us at info@agoravisa.com. We will attempt to resolve the dispute through good-faith discussion for at least 30 days.
13.2 Binding arbitration
If informal resolution fails, any dispute arising out of or related to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration will take place in Sheridan, Wyoming. Judgment on the award may be entered in any court of competent jurisdiction.
13.3 Class action waiver
YOU AND AGORA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
13.4 Exceptions
Notwithstanding the above, either party may bring an individual action in small claims court, and either party may seek injunctive or other equitable relief in court to protect intellectual property rights or confidential information.
13.5 Governing law
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.
14. GENERAL
14.1 Entire agreement
These Terms, together with the Privacy Policy and any policies referenced herein, constitute the entire agreement between you and Agora regarding the Services.
14.2 Modifications
We may modify these Terms at any time. Material changes will be communicated through the Services or by email. Continued use of the Services after changes constitutes acceptance.
14.3 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
14.4 No waiver
Our failure to enforce any right or provision will not constitute a waiver of that right or provision.
14.5 Assignment
You may not assign or transfer these Terms or your rights under them without our written consent. We may assign our rights and obligations without restriction.
14.6 No agency
Nothing in these Terms creates an agency, partnership, joint venture, or employment relationship.
14.7 Force majeure
We will not be liable for any delay or failure caused by circumstances beyond our reasonable control.
14.8 Notices
We may provide notices to you through the Services, by email, or by other reasonable means. Notices to us should be sent to info@agoravisa.com.
